5. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant timely access to required systems, data, and resources
- Respond to requests for feedback and approvals within reasonable timeframes
- Maintain confidentiality of any credentials or access tokens provided
- Comply with all applicable laws and regulations in your use of our services
- Pay all fees according to agreed-upon payment terms
6. Intellectual Property Rights
Client-Owned Content
- You retain all rights to content, data, and materials you provide to us (“Client Content”)
Developed Work
- Custom Development: Unless otherwise specified in a written agreement, intellectual property rights to custom-developed software transfer to the client upon full payment
- Pre-Existing Materials: We retain rights to our pre-existing tools, libraries, frameworks, and methodologies
- Open Source: Any open-source components remain subject to their respective licenses
- Taxisfox: All rights to Taxisfox and related intellectual property remain with Techthos L.P.
Techthos Property
- Our website content, branding, logos, open-source projects, and proprietary methodologies remain our exclusive property
7. Confidentiality
Both parties agree to:
- Maintain confidentiality of proprietary and sensitive information
- Use confidential information solely for the purpose of the engagement
- Implement reasonable security measures to protect confidential data
- Not disclose confidential information to third parties without written consent
8. Payment Terms
- Invoicing: Issued according to engagement agreement (milestone-based, monthly, or upon completion)
- Payment Methods: Bank transfer, as specified in invoices
- Currency: EUR (Euro) unless otherwise agreed
- Late Payments: Interest may be charged on overdue amounts as permitted by Greek law
- Taxes: All fees are exclusive of applicable VAT and taxes
9. Warranties and Disclaimers
Our Commitment
We warrant that:
- Services will be performed with professional care and skill
- We have the right to provide the services offered
- Deliverables will substantially conform to agreed specifications
Disclaimers
EXCEPT AS EXPRESSLY PROVIDED, SERVICES AND PRODUCTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not guarantee:
- Uninterrupted or error-free service operation
- Complete accuracy of AI-generated outputs (clients must review and validate)
- Specific business outcomes or ROI from implemented solutions
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claim arising from services shall not exceed the fees paid by the client in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, special, or punitive damages
- We are not liable for data loss if proper backups were not maintained
- Clients are responsible for validating AI-generated outputs before use in production
11. Data Protection and Privacy
We process personal data in accordance with:
- EU General Data Protection Regulation (GDPR)
- Greek Data Protection Law
- Our Privacy Policy (available at https://www.techthos.net/legal/privacy/)
For data processing activities, a separate Data Processing Agreement (DPA) may be required.
12. Service Modifications and Termination
Our Rights
We reserve the right to:
- Modify service offerings with reasonable notice
- Suspend or terminate services for non-payment or breach of Terms
- Discontinue products or features with 30 days’ notice (SaaS products)
Your Rights
You may terminate services:
- For project-based work: As specified in the service agreement
- For retainers: With 30 days’ written notice
- For SaaS subscriptions: According to subscription terms
Effect of Termination
- Client remains responsible for payment of services rendered
- We will return or destroy Client Content as requested
- Confidentiality obligations survive termination
13. Third-Party Services
- Our services may integrate with third-party platforms (e.g., OpenAI, Anthropic, cloud providers)
- Your use of such services is subject to their respective terms and policies
- We are not responsible for third-party service availability or changes
14. Governing Law and Jurisdiction
- These Terms are governed by the laws of Greece
- Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Thessaloniki, Greece
15. Dispute Resolution
Before initiating legal proceedings, parties agree to:
- Notify the other party in writing of the dispute
- Attempt good-faith negotiations for 30 days
- Consider mediation if negotiations fail
16. Force Majeure
- We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control
- This includes natural disasters, acts of government, network failures, or other force majeure events
17. Export Compliance
- Clients agree to comply with all applicable export control laws and regulations when using our services or software
18. Modifications to Terms
- We may update these Terms from time to time
- Changes will be posted on our website with an updated “Last Updated” date
- Continued use of services after changes constitutes acceptance of modified Terms
- For active service engagements, we will notify clients of material changes via email
19. Severability
- If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect
20. Entire Agreement
- These Terms, together with any executed service agreements and our Privacy Policy, constitute the entire agreement between you and Techthos L.P. regarding our services
